This Partner Agreement ("Agreement") is a binding contract between HKMM Group Inc., an Ontario corporation at 146 Thirtieth Street, Suite 100, Etobicoke, Ontario M8W 3C4, Canada ("HKMM", "we"), and the organization or individual accepting this Agreement ("Partner", "you") in order to issue attestations, respond to marketplace opportunities, or consume ProofChain data through APIs. It supplements — and where inconsistent, prevails over — the general Terms of Service. Personal data processing is governed by the Data Processing Addendum.
Common obligations (all personas)
KYC & credentials: keep your onboarding evidence current; you must update expired documents within 15 days of expiry. HKMM may verify with the issuing body.
Integrity of attestations: every event you submit is signed under your Issuer key and considered a factual statement made by you. Fraudulent, duplicate, or backdated attestations are grounds for immediate suspension, chargeback of related rev-share, and referral to authorities.
Homeowner consent: you may only submit events on a home when the owner has invited you or a service appointment / verified claim links you to the property.
Independence disclosure: disclose commercial relationships that could bias an attestation.
Rev-share transparency: rev-share is calculated on NDR (Gross − Paddle fees − tax − reserves) using the published attribution weights. Earnings post to your Partner Credit Wallet immediately, and become payable after a T+45 chargeback hold. You may withdraw once cleared, subject to Paddle's payout rails.
Data handling: follow the DPA. You may not export homeowner PII to systems outside the ProofChain scope of processing.
Termination: either party may terminate with 30 days' notice; HKMM may terminate immediately for material breach. Attestations you have signed remain on the ledger; personal identifiers are anonymised on request in line with the DPA.
Persona-specific terms
Select the persona that matches your Issuer account. If you operate in more than one role (e.g. contractor + supplier), each applicable persona's terms apply concurrently.
Contractor
General contractors, HVAC/electrical/plumbing trades, roofers, renovators.
Credentials on file
Valid provincial trade licence (e.g. ON College of Trades, RBQ in Quebec).
WSIB / CNESST / provincial workers' comp clearance where required.
Commercial general liability insurance (min. CAD $2M) — proof on file.
Where applicable: TSSA, ESA, HRAI or ORCA membership.
Attestation rules
Work orders and completion certificates for permitted work you performed.
Photo evidence and equipment serial numbers must match the physical site.
You may not backdate events or submit on homes you did not service.
Rev-share
You earn a share of ProofReport unlock revenue attributed to your attestations, weighted by recency and event severity. Payouts through Partner Credit Wallet on Net Distributable Revenue (NDR = Gross – Paddle fees – tax – reserves), released after a T+45 day chargeback hold.
Warranty representations
If you attach a workmanship warranty to an event, you remain the sole warrantor. HKMM does not underwrite your warranty; ProofPromise is a separate optional program.
Sub-contractors
You are responsible for attestations submitted by any sub-contractor you sponsor under your Issuer account.
Warranties, liability & indemnity
You represent that you have authority to bind your organization, that all credentials are genuine, and that attestations are truthful to the best of your knowledge. You indemnify HKMM against third-party claims arising from your attestations, breach of the DPA, or violation of applicable licensing law. HKMM's aggregate liability to you is capped at fees paid or earned in the 12 months preceding the claim, save for fraud or gross negligence.
Governing law
Ontario law and the federal laws of Canada. Disputes are heard in Toronto, Ontario, except Quebec Partners retain the right to bring proceedings in their district under Law 25 and the Quebec Civil Code.
