Terms of Service

ProofChain is a product of HKMM Group Inc., an Ontario corporation ("HKMM", "we", "us"). Registered office: 146 Thirtieth Street, Suite 100, Etobicoke, Ontario M8W 3C4, Canada. These Terms form a binding agreement between you and HKMM.

1. Acceptance

By creating an account or using ProofChain, you agree to these Terms, our Privacy Notice, our Refund Policy, our CASL commitments, and our Cookie Policy. If you don't agree, don't use the service.

2. Nature of the service

ProofChain is an evidence and verification platform. Attestations reflect what partners, owners, inspectors, insurers, and lenders submit; they are not warranties by HKMM of workmanship, fitness for purpose, or property condition. Reports are informational — not appraisals, not legal advice, and not a substitute for a professional home inspection.

3. Accounts & partner verification

You must be of legal age (or authorized to bind the organization you represent), keep your credentials confidential, and provide accurate information. Partner accounts (contractors, inspectors, insurers, suppliers) are subject to KYC and credential verification (WSIB, RBQ, provincial trade licences) and may be suspended for fraud, expired credentials, or breach of the Partner Agreement.

4. Payments, billing & the Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms. See our Refund Policy for the 30-day money-back window.

5. Acceptable use

No fraudulent attestations, no scraping, no reverse-engineering the ledger, no impersonation of partners, no interference with security or infrastructure, no unlawful use. We may suspend accounts, remove content, and revoke attestations that violate this section.

6. Intellectual property

"ProofChain", "Home Passport", "ProofReport", "ProofPromise" and the ProofChain logo are brand assets of HKMM Group Inc. (trademark registration pending). You retain ownership of content you upload; you grant HKMM a limited, non-exclusive licence to store, hash, display, and verify it for the purpose of operating the ledger and providing the service.

7. Warranties & liability

ProofChain is provided "as-is". To the maximum extent permitted by law, HKMM disclaims implied warranties of merchantability and fitness for purpose. HKMM's aggregate liability is limited to the amount you paid HKMM in the 12 months preceding the claim. Nothing in these Terms limits liability for fraud, death, or personal injury, or that cannot be limited under Canadian consumer law.

8. Suspension & termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations. On termination you may export your Home Passport data for 30 days; after that it is deleted or anonymized in line with our Privacy Notice.

9. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes are resolved in the courts of Toronto, Ontario, except that Quebec residents retain the right to bring proceedings in the courts of their district under Law 25 and the Quebec Consumer Protection Act (CQLR c. P-40.1).

10. Changes

We may update these Terms. Material changes are posted here and, where required, emailed to account holders with at least 30 days' notice.
